SpotWorth Terms of Use

These Terms of Use ("Terms") are an agreement between you and AZENSHIALS LLC, a California limited liability company ("we", "us"), which operates SpotWorth at spotworth.app (the "Service"). By tapping "Agree" or by using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
Please read Section 12 (Arbitration and class-action waiver) carefully. It affects how disputes are resolved, and explains how to opt out.
1. Who can use SpotWorth
You must be at least 18 years old and able to form a binding contract. The Service is offered to users in the United States and is not available in the European Economic Area, the United Kingdom or Switzerland.
Accounts (optional). You can use SpotWorth without an account, or sign in with Google or Apple. You're responsible for activity under your account and for keeping your Google or Apple login secure; tell us at legal@spotworth.app if you think your account was misused. One person per account. You can delete your account at any time in Settings ("Delete all my data"). We may suspend or delete accounts that violate these Terms, or that have been inactive for a long time after notice to the account's email.
2. What SpotWorth is, and what it isn't
SpotWorth uses artificial intelligence and public and third-party data to suggest what a vehicle is and to show general information about it. Specifically:
- Identification can be wrong. AI identification of a vehicle from a photo is an estimate. Make, model, year, generation and trim may be incorrect. Always check against the vehicle itself, its VIN and its documents.
- Values are estimates, not appraisals or offers. Estimated values are based on asking prices of comparable listings, not completed sale prices. They don't reflect a specific vehicle's condition, history, accident or title status, options or mileage unless stated. When the Service is showing sample data (it's labelled "Sample"), the numbers are not real market prices. No one is offering to buy or sell a vehicle at any price shown.
- Specs, recalls and ratings are general. Most information is for the model, not for a specific vehicle, and comes from third parties such as NHTSA and the EPA. A recall listed for a model doesn't mean it applies to, or is open on, a particular vehicle. Check a specific vehicle's recalls with its VIN at nhtsa.gov/recalls.
- Not professional advice. Nothing in the Service is financial, legal, insurance, mechanical or safety advice, or a vehicle inspection, history report or appraisal. Don't rely on SpotWorth alone to buy, sell, finance, insure, or value a vehicle, or to decide whether a vehicle is safe. Get an independent inspection and vehicle history report, and consult a qualified professional.
3. Acceptable use
You agree not to use the Service to:
- identify, locate, track, monitor, follow, stalk or harass any person, or to find out who owns or drives a vehicle;
- photograph or upload images of people (including faces), licence plates, documents or other personal information where you can reasonably avoid it, or upload images you don't have the right to share;
- upload unlawful, sexual, violent, hateful or infringing content, or images of minors;
- break any law, including privacy, data-protection and motor-vehicle laws;
- scrape, crawl, bulk-query, or resell the Service or its data, or use it to build a competing database or dataset, or to train AI models;
- bypass rate limits, security, or access controls, or interfere with or overload the Service;
- reverse engineer the Service, except where the law allows it despite this restriction;
- misrepresent SpotWorth's output, for example presenting an estimate as an appraisal or as a vehicle's verified identity, value or history.
We may suspend or block access, without notice, to anyone we reasonably believe is violating these Terms.
4. Your photos and content
You keep ownership of the photos and information you submit ("Your Content"). You give us a worldwide, non-exclusive, royalty-free licence to use, copy, transmit and process Your Content only as needed to operate and improve the Service, including sending photos to our AI provider (Google Gemini) as described in the Privacy Policy. You confirm you have the right to submit Your Content and that doing so doesn't violate anyone's rights or any law.
5. Third-party data and services
The Service relies on third parties, including Google (AI identification), Vercel (hosting), NHTSA, the EPA and other vehicle-data sources, and, when enabled, market-data providers. We don't control them and aren't responsible for their accuracy, availability or practices. Their data may be incomplete, out of date or wrong.
6. Trademarks
Vehicle makes, model names and logos belong to their owners. SpotWorth is not affiliated with, endorsed by, or sponsored by any vehicle manufacturer, dealer or data provider. Names are used only to identify vehicles. "SpotWorth" and its logo belong to AZENSHIALS LLC.
7. Our rights in the Service
The Service, including its software, design, text and logos (but not Your Content or third-party data), belongs to AZENSHIALS LLC and its licensors. We grant you a personal, revocable, non-transferable, non-exclusive licence to use the Service for personal, non-commercial purposes under these Terms.
8. Changes, availability and termination
The Service is new and may change, break, or stop at any time, and features (including value estimates) may be added, changed or removed. We may suspend or end the Service, or your access to it, at any time. You can stop using it at any time and delete your data in Settings. Sections 2, 4 (licence for content already submitted), 5, 6, 9, 10, 11, 12 and 13 survive termination.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. We don't warrant that identifications, values, specs, recalls or other information are accurate, complete or current, or that the Service will be uninterrupted, secure or error-free.
10. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW: (A) AZENSHIALS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SAVINGS, LOSS OF DATA, OR ANY LOSS FROM BUYING, SELLING, FINANCING, INSURING OR VALUING A VEHICLE, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF FIFTY U.S. DOLLARS ($50) OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM. Some laws don't allow certain limitations; in that case they apply only to the extent allowed. Nothing in these Terms limits liability for fraud, or for anything that can't be limited by law.
11. Indemnity
You agree to defend, indemnify and hold harmless AZENSHIALS LLC and its members, managers, employees and contractors from claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from Your Content, your use or misuse of the Service, or your violation of these Terms, the law or anyone's rights.
12. Arbitration and class-action waiver
(a) Informal resolution first. Before filing a claim, contact legal@spotworth.app with a description of the dispute. We'll both try in good faith to resolve it within 60 days.
(b) Binding arbitration. If it isn't resolved, any dispute arising from or relating to the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, under the Federal Arbitration Act. The arbitration will be held in San Diego County, California, or by video or documents if you prefer. Either party may instead bring an individual claim in small-claims court if it qualifies, and either party may seek an injunction in court to stop infringement or misuse of intellectual property.
(c) No class actions. You and we may bring claims only individually, not as a plaintiff or class member in any class, collective or representative action, and the arbitrator may not combine claims of different people. If this class-action waiver is found unenforceable for a claim, that claim (and only that claim) will be decided in court, not arbitration.
(d) 30-day opt-out. You can opt out of this Section 12 by emailing legal@spotworth.app within 30 days of first accepting these Terms, with your name and the statement "I opt out of arbitration." Opting out won't affect anything else in these Terms.
13. Governing law and venue
These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in San Diego County, California, and both parties consent to their jurisdiction.
14. Changes to these Terms
We may update these Terms. We'll change the effective date and version above, and for material changes we'll ask you to accept the new Terms in the app before you continue. Changes won't apply retroactively to disputes we already know about.
15. General
These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is unenforceable, the rest stays in effect. Our not enforcing a provision isn't a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. Notices to you may be given in the app.
